Terms.

1.1These Terms of Service apply to all services provided by Jadore Pte. Ltd.(operating the “ExaEdge” brand and services, hereinafter referred to as “the Company”), including but not limited to mobile applications, games, the generative AI service “ExaArt”, the AI-powered visual comparison tool “insightDiff”, and any related web services (collectively referred to as the “Service”).

1.2By accessing or using the Service, users agree to be bound by these terms. Users must be of the applicable legal age in their jurisdiction to use the Service.

1.3Users located in regions where the General Data Protection Regulation (GDPR) applies (including the European Union), as well as users located in the People's Republic of China, are strictly prohibited from using the Service. Any attempt to access or use the Service from these regions will result in immediate termination of access.

2.1"User Content" refers to any data, images, files, text prompts, or other materials uploaded, inputted, or transmitted by the user into the Service.

2.2"Digital Assets" refers to the generated output, including but not limited to images, text, and videos, created by the Service's artificial intelligence based on the user's prompts or interactions.

3.1The Company grants users a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service subject to these terms.

3.2Users are strictly prohibited from copying, modifying, reverse engineering, decompiling, or attempting to extract the source code of the Service.

3.3Certain features of the Service require an active internet connection. Any data or network charges incurred are the responsibility of the user.

4.1Rights to User Content: When uploading or inputting User Content, users represent and warrant that they own all necessary intellectual property rights or have obtained explicit permission from the rightful owners to use such content.

4.2Prohibited Uploads: Users must not upload highly sensitive information, personally identifiable information (PII) of others without consent, or materials that infringe upon privacy, copyright, or third-party rights.

4.3Prohibited Conduct: Users must not use the Service to generate illegal, harmful, defamatory, sexually explicit content, or deepfakes. Automated data extraction (scraping) and unauthorized access are strictly prohibited.

4.4License to the Company: By using the Service, users grant the Company a non-exclusive license to process, analyze, and store the User Content solely for the purpose of operating, maintaining, and improving the Service.

5.1All intellectual property rights related to the Service itself remain the sole property of the Company or its licensors.

5.2Usage Rights for Digital Assets: The rights to use Digital Assets generated through the Service are governed by the user's account status:

• (a)Free Users: Digital Assets generated by users on a free tier or without an active paid subscription are strictly limited to personal, non-commercial use. Commercial use, distribution, sale, or leasing of these Digital Assets is strictly prohibited.
• (b)Paid / Subscribed Users: Users who maintain an active paid subscription or have purchased specific commercial-use features are granted a license to use the generated Digital Assets for commercial purposes, subject to compliance with these terms (including Section 4.3).

5.3The Company reserves the right to revoke any license if a user is found to be in violation of these terms.

6.1Certain features or commercial usage rights require payment or subscriptions. All payments made through distribution platforms or app stores are subject to the respective platform's payment and refund policies.

6.2Unless required by applicable law, all purchases and subscription fees are final and non-refundable. Users are responsible for managing auto-renewing subscriptions through their respective platform accounts.

7.1The Company reserves the right to modify, update, temporarily suspend, or permanently discontinue any part of the Service without prior notice.

7.2The Company may terminate or suspend a user's access to the Service immediately, without prior notice or liability, for any reason whatsoever, including a breach of these terms.

8.1AI Disclaimer: Generative AI and automated analysis tools may occasionally produce inaccurate, incomplete, or unintended results (hallucinations). The Company makes no warranties regarding the accuracy, reliability, or fitness for a particular purpose of any Digital Assets or analysis output.

8.2The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Company disclaims all warranties, whether express or implied.

8.3To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages. In no event shall the Company's total liability exceed the amount paid by the user to the Company in the past twelve (12) months.

9.1These terms are governed by the laws of Singapore, without regard to its conflict of law principles.

9.2Both parties agree to first attempt an amicable resolution through good faith negotiations before escalating any dispute.

9.3In the event of any disputes that cannot be resolved amicably, the competent courts of Singapore shall have exclusive jurisdiction.
